1.Parties and acceptance

These Terms govern the use of the IAatende service offered at iaatende.com. The contract is entered into with IAatende LLC (Florida, United States) for customers in the United States and with IAATENDE LTDA (CNPJ 67.083.610/0001-77, Nova Lima/MG) for customers in Brazil. By subscribing to a plan you represent that you have authority to bind the contracting business and accept these Terms and the Privacy Policy.

2.The service

IAatende provides artificial intelligence agents that serve your business's customers through website chat, messaging (SMS, WhatsApp, Instagram, Facebook, email) and, depending on the plan, by phone. The service includes installation, initial setup and activation within 48 business hours after payment and receipt of the information we need from you.

The service is a subscription ("Agents as a Service"). The platform, agents, scripts and technology are owned by or licensed to us. You receive a limited, non-exclusive, non-transferable license to use them during the term of the contract.

3.Plans, prices and payment

Billing is annual, with 12 months paid upfront. In the United States, by credit card on the site; in Brazil, by Pix or card. Voice minutes beyond the plan are billed separately at the rates disclosed before purchase. Prices exclude taxes that the law assigns to the customer. We may adjust prices at renewal with 30 days' notice.

4.Cancellation, refunds and renewal

You may cancel at any time, with no penalty. Months already paid and not used are not refunded, except:

• Activation failure: if we fail to activate the service within 10 business days after receiving all required information, for reasons attributable to us, we refund the amount paid.
• Withdrawal right (Brazil): consumers under the Brazilian Consumer Defense Code may withdraw within 7 days of purchase with a full refund (CDC, art. 49).
• Legal requirement: any other refund required by the law of your state or country.

The subscription does not renew automatically: 30 days before the end we notify you by email, and renewal requires a new payment.

5.Customer responsibilities

• provide accurate information about your business, services and the prices the agents will quote;
• obtain the consent required by law before the agents send marketing messages (in the United States, prior express written consent for SMS under the TCPA);
• use lawfully obtained contact lists and disclose to your customers that service is provided by artificial intelligence where the applicable law requires it (in California, Bus. & Prof. Code § 17941);
• keep access credentials confidential and notify us of misuse;
• comply with the policies of the channels used (Meta, SMS carriers, email providers).

6.Acceptable use

You may not use the service for: unsolicited bulk messaging; fraud, phishing or deception; illegal, discriminatory or infringing content; activities prohibited by the messaging channels; collecting data from minors; or any use that harms the stability or reputation of the platform. We may suspend the service immediately upon violation, with notice.

7.Data and ownership

Your business's data and your customers' data belong to you. We process them as a service provider/processor, only to deliver the service and under your instructions, as described in the Privacy Policy. We do not sell them or use them to train artificial intelligence models. At the end of the contract you may export your data within 30 days; afterwards we delete it, except where retention is required by law.

You authorize us to use your business name and logo only to configure the agents. Any use as a commercial reference requires specific authorization.

8.Artificial intelligence and limits

The agents use language models and can make mistakes. They inform, schedule and quote based on what you configured, but they do not replace your decisions on legal, financial, medical or safety matters. You are responsible for reviewing quotes and commitments made on your behalf. A hand-off to a person is always available when the end customer asks for it or the matter requires it.

9.Availability and support

We work to keep the service available 24 hours a day, with scheduled maintenance announced in advance. Direct support in English, Portuguese or Spanish at contact@iaatende.com and through the channels provided at purchase. We do not guarantee uninterrupted operation or specific commercial results.

10.Limitation of liability

To the extent permitted by law, our total liability for any claim related to the service is limited to the amount you paid in the 12 months before the event, and we are not liable for lost profits, data loss caused by third parties, or indirect, incidental or consequential damages. This limitation does not apply to willful misconduct, gross negligence or cases where the law prohibits it, including consumer relationships governed by the Brazilian Consumer Defense Code. THE SERVICE IS PROVIDED "AS IS" AND, EXCEPT AS EXPRESSLY STATED HERE, WITHOUT WARRANTIES OF ANY KIND.

11.Confidentiality

Each party keeps the other's non-public information confidential, using it only to perform the contract, for 5 years after it ends. The obligation does not cover information that is already public, lawfully obtained from third parties, or whose disclosure is required by law or by order of an authority.

12.Term and termination

The contract runs for 12 months from activation. Either party may terminate for a material breach not cured within 15 days of notice. We may discontinue the service with 60 days' notice, refunding unused months pro rata. Clauses on data, confidentiality, liability and governing law survive termination.

13.Governing law and venue

• Customers in the United States: the laws of the State of Florida and applicable federal law, without regard to conflict-of-law rules; exclusive venue in the state and federal courts located in Florida. The parties waive jury trial and class actions to the extent permitted by law.
• Customers in Brazil: Brazilian law; venue of the judicial district of Nova Lima/MG, except for the consumer's domicile where the Consumer Defense Code applies.

14.Changes and contact

We may update these Terms. The version in force is the one published on this page, with the date at the top. Changes affecting price, scope or rights are notified by email 30 days in advance and do not apply to a period already paid without your agreement. Questions: contact@iaatende.com.
